Cap on Liability

These Terms and Conditions are governed by and construed in accordance with the laws of Cyprus, without giving effect to any principles of conflicts of law. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Jurisdiction and Venue

You irrevocably agree that the courts of Cyprus shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these terms or their subject matter. You irrevocably waive any objection to proceedings in such courts on the grounds of venue or inconvenient forum.

Informal Resolution

Time Limitation

You agree that any claim or cause of action arising from or related to use of our services must be filed within one (1) year after such claim or cause of action arose, or it will be forever barred.

Force Majeure

Neither party shall be liable for any failure or delay in performance under these terms due to circumstances beyond their reasonable control, including but not limited to:

Acts of God, natural disasters, or severe weather
War, terrorism, civil unrest, or government actions
Epidemics, pandemics, or public health emergencies
Strikes, labor disputes, or supply chain disruptions
Power failures, internet outages, or communications failures
Fire, flood, earthquake, or other catastrophes

If a force majeure event continues for more than thirty (30) days, either party may terminate affected service engagements upon written notice to the other party.

General Provisions

Entire Agreement

These Terms and Conditions, together with our Privacy Policy, Cookie Policy, Terms of Service, and any written service agreements, constitute the entire agreement between you and Meridian Path regarding your use of our services and supersede all prior agreements and understandings.

Amendments

Severability
